This End User License Agreement ("EULA") is a legal agreement between you and Clutch City AppWorks LLC ("we," "us," "our") for the Lotto Ledger mobile application ("the App") distributed via Google Play.
By installing or using the App, you agree to be bound by this EULA. If you do not agree, you must not install or use the App.
This EULA is solely between you and Clutch City AppWorks LLC. Google LLC ("Google") is not a party to this EULA and has no responsibility for the App or this EULA.
Your use of the App must comply with the Google Play Terms of Service and any Google Play policies applicable to users. If there is any conflict between this EULA and those Google terms, the Google terms will control to the extent of the conflict.
If there is any conflict between this EULA and the Terms of Service for Lotto Ledger, the Terms of Service shall control to the extent of the conflict, unless otherwise required by applicable law or by the Google Play Developer Distribution Agreement.
By using the App, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction, if higher). If you are under 18, you must cease use immediately.

Your use of the App is also subject to our Privacy Policy, available at: https://www.clutchcityappworks.com/lottoledger/privacy-android
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use one copy of the App on a device that you own or control and that runs a validly licensed copy of the Android operating system. This license is granted only for personal, non-commercial use, unless we expressly authorize other uses in writing.
You may NOT:
Clutch City AppWorks LLC is solely responsible for providing any maintenance and support services for the App as required under applicable law and as described in this EULA or our support documentation. Google has no obligation to provide any maintenance or support for the App.
You acknowledge that Clutch City AppWorks LLC, not Google, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to product liability claims and claims under consumer protection, privacy, or similar legislation.
The App, including its user interface, design, features, algorithms, code, and the "Lotto Ledger" brand, are the exclusive property of Clutch City AppWorks LLC or its licensors, and are protected by copyright, trademark, and other intellectual property laws. The App is licensed, not sold, to you under this EULA. No license is granted to the App's source code, which remains proprietary and private.
If the App allows you to submit or store content (such as notes or ticket entries), you retain any rights you have in that content. You grant us a limited, non-exclusive, worldwide, royalty-free license to use that content solely to operate, provide, and improve the App.
In the event of any third-party claim that the App or your possession and use of the App infringes intellectual property rights, Clutch City AppWorks LLC will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to this EULA or your use of the App that is not resolved informally shall be finally resolved by binding individual arbitration, administered by the American Arbitration Association ("AAA") under its applicable rules. The arbitration shall take place in Montgomery County, Texas, or as otherwise mutually agreed.
The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.
You agree to bring claims against Clutch City AppWorks LLC only in your individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
You may opt out of this arbitration agreement and class action waiver by sending a written notice to [email protected] within 30 days after you first accept this EULA. Your notice must include your name, the email address associated with your account (if any), and a statement that you wish to opt out of arbitration for the App. If you opt out, Clutch City AppWorks LLC will not be bound by this arbitration provision for claims you bring, but all other parts of this EULA will continue to apply.
For any matters not subject to arbitration or where the arbitration agreement is found unenforceable or inapplicable, the exclusive jurisdiction and venue (except where prohibited by applicable law) shall be the state and federal courts located in Montgomery County, Texas. You consent to the personal jurisdiction of such courts for such purposes.
If any portion of this Section 5 is found unenforceable, that portion shall be severed, and the remainder shall be enforced to the fullest extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee any winning outcomes. Lottery participation involves financial risk and negative expected value. You acknowledge that most lottery players lose money over time and that the App does not change the underlying odds or outcomes of lottery games. The App is for informational and entertainment purposes only and does not provide investment, financial, or gambling advice.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Clutch City AppWorks LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of winnings, loss of data, or other intangible losses arising out of or relating to your use of or inability to use the App. Clutch City AppWorks LLC's total liability to you for any and all claims arising out of or relating to this EULA or the App shall not exceed the greater of (a) the amount you paid for the App and any in-app purchases in the 12 months preceding the event giving rise to the claim, or (b) USD $1.00, to the extent that this is the maximum amount permitted by law under this EULA-centric liability cap.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. In such places, our liability will be limited to the maximum extent permitted by law.
You represent and warrant that:
(i) You are not located in a country that is subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country; and
(ii) You are not listed on any U.S. Government list of prohibited or restricted parties.
You agree to comply with all applicable laws and regulations in connection with your use of the App.
You and Clutch City AppWorks LLC acknowledge and agree that Google and its affiliated companies are third-party beneficiaries of this EULA. Upon your acceptance of this EULA, Google will have the right (and will be deemed to have accepted the right), to the extent applicable, to enforce this EULA against you as a third-party beneficiary thereof.
The App does not accept wagers, process payments for lottery tickets, or facilitate real-money gambling. The App is not a lottery operator, agent, or reseller and does not issue, sell, or validate lottery tickets. All lottery participation, if any, occurs outside the App through official lottery channels.
You are solely responsible for verifying all drawing results with official lottery sources, checking tickets through official channels, and complying with all lottery laws in your jurisdiction. You understand and agree that the App may contain errors or omissions and that you should always rely on official sources for final results and prize claims.
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Clutch City AppWorks LLC, its owners, officers, employees, contractors, and agents from and against any and all claims, demands, actions, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
(a) Your violation of this EULA;
(b) Your misuse of the App; or
(c) Your violation of any applicable law or regulation in connection with lottery play or other activities.
This indemnity obligation will survive termination of this EULA and your use of the App.
We may modify this EULA from time to time. If we make material changes, we will provide notice by updating the "Effective Date" above and, where reasonable, by providing notice within the App or through other appropriate means. Changes will apply prospectively from the effective date indicated.
If you do not agree to the updated EULA, you must stop using and uninstall the App. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated EULA.
We reserve the right to suspend or terminate your license to use the App at any time if you violate this EULA or use the App in a manner that we reasonably believe may cause harm or liability to us, other users, or any third party.
